Due to the impact of the traditional economic system of China,Company Law on the protection of minority shareholders' rights and interests has always been weak.The paper defined the shareholders and minority shareholders and summarized the concrete manifestations of infringement of the rights and interests of minority shareholders.Then using the salutary experiences of other countries' company law for reference,it put forward the countermeasures to perfect the protection system of minority shareholders' rights and interests.
